The role
Own venture deals end-to-end, advise founders and boards on cap tables, governance, and retention, and turn repeatable work into productized workflows with our engineering team. You’ll coach juniors, set standards, and be a primary point of contact for CEOs and investors.
What you’ll do
- Lead venture financings (safes, priced rounds, notes, secondaries) and run closings with zero drift
- Architect cap tables; right-size pools; design executive + broad-based equity (options, rsus, restricted stock)
- Guide co-founder rebalances, retention packages, repurchases, re-vesting, and secondary programs
- Handle board/company governance (consents, protective provisions, drag/rofr/co-sale, conflicts)
- Partner with product/engineering to systematize playbooks and automate docs, reviews, and approvals
- Own client relationships; anticipate issues; keep hiring capacity intact with smart pool planning
You are
- Trained at a top-tier ECVC practice (Cooley, Fenwick & West, Latham & Watkins, DLA Piper, Goodwin Procter, Gunderson Dettmer, Orrick, Pillsbury, Silicon Legal Strategy, Wilson Sonsini, Perkins Coie); equivalent in-house startup GC is a plus, not a requirement
- Judgment + velocity: you simplify complexity, ship perfect-enough work fast, and focus risk where it lives
- Client-first communicator who runs the room with founders and investors
- Use AI daily (drafting, redlines, pattern libraries, cap-table modeling, quality checks)
- Fluent with Carta/pulley, docusign/dropbox sign, notion, airtable; strong excel/sheets modeling
